Description
Rubén Eduardo Luján is a partner and the head of the banking and finance, securities and mining practices in our Caracas office. He is Co-Head of Banking and Finance for the Latin America and Caribbean region.

His practice is focused on corporate, transactional, commodities trading and finance work in Venezuela and Latin America. He has extensive experience with acquisitions, mergers, corporate reorganizations and spin-offs of Venezuelan companies, including those in heavily-regulated industries, such as banking, insurance, pharmaceuticals and food.

He advises and counsels clients (lenders, sponsors and borrowers) on major finance deals, including energy finance, and has led and assisted on complex cross-border financing structures particularly for the oil and gas and mining industries. These include financings provided by multilaterals, development banks, international banks, sponsors and commodities trading firms, and specialized forms of financings such as asset-based financing and acquisition finance deals associated to the future production and sales of crude oil and derivatives.

Mr. Luján co-led the Dentons team that advised Ecuador in its historic debt-for-nature swap transaction, the largest ever achieved in the world, intended to enhance the conservation of the Galápagos Islands and their marine ecosystems. This landmark transaction has been globally recognized with multiple deal of the year awards for 2023, granted by independent publications and intelligence firms such as Latin Finance, Environmental Finance, International Financing Review (IFR), and Bonds, Loans and ESG Capital Markets (GFC Media Group).

Mr. Luján also advises and counsels on Venezuelan securities matters, including the public offering of securities, securitization, tender offers, derivatives and structured products. He regularly advises international banks, international insurance and reinsurance companies, and international asset and wealth management firms, on regulatory, transactional and financing matters. Mr. Luján advises on innovative areas for Venezuela such as financial technology (FinTech) and cryptocurrencies matters. He has been honored to open the market at the Toronto Stock Exchange (TSX) and the TSX Venture Exchange (TSX-V).

As part of his Latin American practice, Mr. Luján has coordinated and assisted in corporate reorganizations in several countries (including Argentina, Chile and Ecuador) for food and telecommunications companies, and has led or assisted in acquisitions or sales by international mining companies of gold, silver and nickel mining projects in several countries (including Colombia, Mexico, Peru, Venezuela, Guatemala, Dominican Republic and Nicaragua).
