Description
Stuart W. Ruffolo is an associate in the Corporate Group. His practice focuses on securities and corporate finance, mergers and acquisitions, general corporate and commercial matters, as well as venture technology and emerging growth companies. He has extensive experience with cannabis regulatory law, and has experience across a wide range of industry sectors including technology, healthcare, cannabis, financial services, life sciences, mining and energy.

Stuart advises on a variety of private and public transactions, including traditional IPOs, “blank cheque” company IPOs, reverse takeovers, acquisitions, qualifying transactions, secondary offerings, private placements and other forms of equity and debt financing. He acts for both public and private issuers and securities dealers, and has advised companies listed on the Toronto Stock Exchange, NEO Exchange, TSX Venture Exchange and the Canadian Securities Exchange.

Stuart provides advice on public company disclosure, corporate governance, stock exchange listings, takeovers and corporate structuring. He also has extensive experience with cross-border transactions as well as both complex and routine commercial agreements, including licensing, royalty and supply agreements.

Stuart works closely with his clients to provide strategic business advice and creative solutions for all opportunities and challenges they face. He also regularly utilizes the leading legal tech in his practice to help his clients maximize efficiency and value.

Stuart is a member of the Law Society of Ontario and the Ontario Bar Association.

Background
Stuart was awarded the Torys LLP Prize in Business Law (2018) for attaining the highest average standing in selected business law courses at Western Law.
